OTCM PROTOCOL WHITEPAPER VER 8.0

OTCM Protocol (Over the Counter Microcap) is a purpose-built Layer 2 blockchain infrastructure on Solana creating permanent, compliance-enforced trading markets for the $50B+ in shareholder value trapped across 11,000+ abandoned OTC microcap securities.

THE PROBLEM: When OTC companies lose SEC Rule 15c2-11 eligibility, shareholders are permanently locked out — holding legally valid securities they cannot sell at any price. Market makers withdraw, broker-dealers cannot publish quotes, and no recovery path exists.

THE SOLUTION: OTCM tokenizes equity into ST22 Security Tokens — classified as Digital Securities under SEC Release No. 33-11412 (March 17, 2026). Each token is backed 1:1 by Common Class B shares held in irrevocable custody at Empire Stock Transfer (SEC-registered transfer agent). Common B shares carry issuer-designated shareholder rights including voting, dividends, and liquidation participation. Every transfer enforces 42 compliance controls via SPL Token-2022 Transfer Hooks. Liquidity is permanently locked by smart contract — mathematically impossible to withdraw.
